CoStar expects to grant the underwriters in the offering a 30-day option to purchase up to an additional 562,500 shares of its common stock. J.P. Morgan Securities LLC is the sole book-running manager, with Needham & Company, LLC, Stephens Inc., William Blair & Company, L.L.C. and JMP Securities LLC as co-managers for the offering. CoStar expects to use the net proceeds of the offering to fund a portion of the cash consideration payable in connection with its acquisition of LoopNet, Inc. and, to the extent that any proceeds remain thereafter, or the acquisition is not completed, for general corporate purposes. The offering is not conditioned on the closing of the LoopNet acquisition.
