PHOENIX, May 18, 2011 (GLOBE NEWSWIRE) -- iMergent, Inc. (AMEX:IIG), a leading provider of eCommerce software, site development, web hosting and search engine optimization for businesses and entrepreneurs, today announced the results for our annual meeting of stockholders, whereby our stockholders were asked to vote on the following proposals:
1. To elect three Class II directors, each for a term of two years, expiring at our annual meeting of stockholders to be held during 2013 or until a successor has been duly elected and qualified;
2. To consider and act upon a proposal to approve an amendment to our 2003 Equity Incentive Plan (the "Plan") to increase the number of shares available for issuance in connection with the options or other awards granted under the Plan by 1,000,000 shares, from 2,000,000 shares to 3,000,000 shares;
3. To consider and vote upon a proposal to amend our Certificate of Incorporation, as amended to date, to change the name of our company from "iMergent, Inc." to "Crexendo, Inc."; and
4. To consider and vote upon a proposal to ratify the appointment of Deloitte & Touche LLP as our independent registered public accounting firm for our year ending December 31, 2011.
Each of the proposals set forth above were approved by our stockholders and received the requisite number of votes to approve the proposed actions. Additionally, the Company announced that effective with the opening of trading on May 23, 2011: (i) its new trading symbol on the NYSE – AMEX exchange will be (AMEX:EXE), and (ii) its corporate name will change to Crexendo, Inc.
