(Nasdaq:VRSK), a leading source of information about risk, announced today the pricing of its previously announced secondary public offering of 19,030,515 shares of the Company's Class A common stock at a price to the public of $27.25 per share. Proceeds to the selling stockholders from the offering are approximately $26.36 per share. Verisk will not receive any proceeds from the sale of shares in the offering.
The Company expects to close the offering, as well as its previously announced concurrent repurchase of 7.3 million shares at the net offering price to stockholders of approximately $26.36 per share, for a total repurchase of $192.5 million, on Friday, October 1, 2010.
BofA Merrill Lynch, Morgan Stanley, and J.P. Morgan are acting as joint book-running managers for the offering. Wells Fargo Securities is acting as senior co-manager. William Blair & Company, Keefe, Bruyette & Woods, RBS, and SunTrust Robinson Humphrey are acting as co-managers. The selling stockholders have granted the underwriters a 30-day option to purchase an additional 2,854,577 shares to cover over-allotments, if any.
